GIBELA –LEGALAND COTRACT ADMINISTRATOR


Gibela Rail Transport invites suitably qualified candidates to apply for the Legal and Contract Administrator to be based in Nigel. The role reports to the GIBELA Legal Counsel & Company Secretary.


Job Purpose


  • Under general supervision, the Administrator provides assistance to the legal department for the legal and contract management and corporate administration functions of the Company.
  • Responsibilities include but not limited to the process of systematically and efficiently managing contract creation, execution, corporate administration and analysis for the purpose of maximizing financial and operational performance and minimizing risk.

Tasks and Responsibilities


Legal administrative support


  • Updating the z-drive- all folders under legal sourcing and any other platform which the legal departments utilizes
  • Storage register for original contracts and a register of accessing of the contracts to be updated monthly
  • Monitoring of expiration of signed indirect contracts
  • Managing of signed NDA (scanning and filling originals)
  • Managing of signed original contracts
  • Ensuring that contracts have signed validation sheet before signature
  • Ensuring that finalized contracts are signed
  • Ensuring if applicable signed derogation forms are part of the signed contract
  • Ensuring that contracts have signed checklists
  • Ensuring that signed contracts have altes numbers
  • Updating of the legal dashboard and circulating it every month
  • Gathering and consolidating information for any potential litigation
  • Manage letters of demands
  • Manage credit application process
  • Update the visual boards
  • Vetting of NDA
  • Assists in pre-bid meetings.
  • Assists in negotiating and executing contracts.
  • Verification that all contractual clauses are included in documents (as are appropriate).
  • Manage vendor/supplier performance in relation to contractual agreements

Contract Management and legal correspondence


  • Managing signed contracts on an excel sheet (total contracts signed)
  • Vetting of letters
  • Gathering and consolidating information for any potential claim
  • Reviews and/or provides guidance in the preparation of contracts, agreements, amendments and change orders.
  • Assist in resolving disputes, claims, litigation and settlements.
  • Attendance of domain meetings

Writing skills


  • Creating standard template letters
  • Must know how to write efficiently minutes of meeting
  • Learning to take notes clearly
  • Drafting of agreements
  • Drafting of formal letters
  • of various topics

Corporate Governance


  • Filing and tracking annual lodging with CIPC;
  • Filing and tracking resolutions;
  • Drafting of minutes of meetings
  • Legal Research
  • Legal opinions
  • Create a dashboard of all resolutions entered into by the respective shareholders and board of directors;
  • Manage the annual work plan and diary for Board Meeting, Shareholders Meetings, Annual General Meetings

Knowledge and understanding


  • Must have Understanding of the Gibela legal system and assist to improve the system if needs be;
  • Must gain full knowledge of the Sourcing department and relating departments

Experience


Minimum of 3 years’ experience in a similar industry (construction / project based)
